THE CHALLENGE

PRE-ACQUISITION COMMERCIAL DUE DILIGENCE AND OFT SUBMISSION

Prior to the acquisition by private equity investors of two market leading interior building products businesses, the 4D Team successfully supported local management to develop and deliver a submission to the Office of Fair Trading (OFT) to allow the acquisition to proceed without reference to the Competition and Markets Authority (CMA).
 

DIAGNOSIS

The 4D Team used extensive research, data mining and integration tools to collate information from a wide variety of sources and to present clear and factual analysis to support local management in developing a successful submission on time and within budget.

DEVELOPMENT

  Extensive market research was carried out to understand and explain market segmentation and structure and to determine potential competition issues arising from the proposed acquisiton and merger.
  Interviews were carried out with customers, suppliers and other stakeholders to develop a thorough understanding and model of the market sector.
  Detailed desk top research was performed to assemble all available market data, including value chains, channels, financial metrics and market shares, to support the submission.
   

DELIVERY

  A 100 page report was prepared for the OFT over a period of 2 months outlining the rationale for the acquisition and likely competition issues and how they could be overcome
  The acquisition was subsequently given approval to proceed by the OFT without further reference to the Competition and Markets Commission
  The research and data derived provided a benchmark report for the subsequent development of business strategy by local management
